1. Agreement to Terms

By accessing or using BizSource.AI ("the Platform"), you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. The Platform is owned and operated by NexLvel LLC, a Florida limited liability company. If you do not agree with any part of these Terms, you may not access the Platform.

2. Description of Service

BizSource.AI is an AI-powered business marketplace and intelligence platform that facilitates the discovery, listing, and matching of businesses for sale, franchise opportunities, and commercial real estate spaces. The Platform provides tools including AI-powered buyer matching, Confidential Information Memoranda (CIM) generation, broker directory services, valuation tools, and outreach automation. BizSource.AI functions solely as a listing and matching platform and does not act as a broker, agent, or legal representative in any transaction.

3. Listing Platform — Not a Broker

BizSource.AI is a technology platform, not a licensed business broker, real estate broker, attorney, or financial advisor. The Platform does not supply, prepare, or execute legal documents, NDAs, purchase agreements, or any transactional paperwork between buyers and sellers. All transactions, negotiations, and agreements are the sole responsibility of the parties involved. Users are strongly encouraged to engage licensed professionals for all transactional matters.

4. User Accounts and Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use the Platform. When creating an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. NexLvel LLC reserves the right to suspend or terminate accounts that violate these Terms.

5. Listing Submissions and Content

Users who submit listings represent and warrant that: (a) they have the legal right to list the business or property; (b) all information provided is accurate, truthful, and not misleading; (c) the listing does not infringe any third-party intellectual property rights; and (d) the listing complies with all applicable federal, state, and local laws. NexLvel LLC reserves the right to remove, edit, or reject any listing at its sole discretion without notice.

6. AI-Generated Content

The Platform uses artificial intelligence to generate content including but not limited to CIM documents, listing descriptions, buyer match summaries, valuation estimates, and placeholder images. All AI-generated content is provided for informational purposes only and does not constitute professional financial, legal, or investment advice. NexLvel LLC makes no representations or warranties regarding the accuracy, completeness, or fitness for purpose of any AI-generated content. Users should independently verify all AI-generated information before relying on it for any business decision.

7. Payments and Subscriptions

Certain features of the Platform require payment. All payments are processed securely through Stripe on behalf of NexLvel LLC. Subscription fees are billed on a monthly basis unless otherwise stated. All sales are final unless otherwise required by applicable law. Introductory pricing (where offered) is locked for the stated term and will revert to standard pricing upon renewal. By providing payment information, you authorize NexLvel LLC to charge the applicable fees to your payment method. All receipts will reflect NexLvel LLC as the merchant of record.

8. NexLvel Pro Membership Bonus

Qualifying paid listing and management company plans include a complimentary 6-month NexLvel Pro Membership at NexLvel.com (a $119.70 value). This bonus is subject to NexLvel.com's own terms of service and is provided as a courtesy at the sole discretion of NexLvel LLC. NexLvel LLC reserves the right to modify or discontinue this offer at any time with reasonable notice.

9. Broker Directory and Professional Listings

The broker and professional directory on the Platform is provided for informational purposes only. Inclusion in the directory does not constitute an endorsement, recommendation, or guarantee of any professional's services, qualifications, or fitness for any particular purpose. Platinum Partner status is a designation reserved for founding partners of the Platform and is granted at the sole discretion of NexLvel LLC. Users engage listed professionals entirely at their own risk.

10. Email Outreach and CAN-SPAM Compliance

The Platform may send commercial email communications to business owners with unclaimed listings, in compliance with the CAN-SPAM Act of 2003. All outreach emails include a clear identification of the sender (NexLvel LLC / BizSource.AI), a valid physical mailing address, and a functioning opt-out mechanism. Opt-out requests are honored within 10 business days. By submitting your email address through the Platform, you consent to receive transactional and marketing communications from NexLvel LLC.

11. Intellectual Property

All content on the Platform — including but not limited to text, graphics, logos, icons, images, audio clips, and software — is the property of NexLvel LLC or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Platform content without the express written consent of NexLvel LLC.

12. Prohibited Conduct

You agree not to: (a) use the Platform for any unlawful purpose; (b) post false, misleading, or fraudulent listings; (c) scrape, harvest, or collect data from the Platform without written authorization; (d) attempt to gain unauthorized access to any portion of the Platform; (e) interfere with or disrupt the integrity or performance of the Platform; (f) use the Platform to send unsolicited commercial communications in violation of applicable law; or (g) impersonate any person or entity.

13. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NEXLVEL LLC DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEXLVEL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE PLATFORM. IN NO EVENT SHALL NEXLVEL LLC'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO NEXLVEL LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved by binding arbitration in Palm Beach County, Florida, in accordance with the rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action lawsuit.

16. Platform Confidentiality Policy

Certain listings on the Platform may contain confidential business information, including financial data, seller identity, and proprietary details. By creating an account and using the Platform, you agree to the following:

• You will not share, distribute, reproduce, or disclose any confidential listing information accessed through the Platform to any third party without the express written consent of the listing owner.
• You will use confidential information solely for the purpose of evaluating a potential business transaction.
• You acknowledge that BizSource.AI is a listing and matching platform only. Any Non-Disclosure Agreements (NDAs), purchase agreements, or other legal documents between buyers, sellers, and their respective brokers are the sole responsibility of those parties. BizSource.AI does not prepare, execute, or enforce NDAs or any transactional legal documents.
• Breach of this confidentiality obligation may result in immediate account termination and may expose you to legal liability under applicable state and federal law.

17. Changes to Terms

NexLvel LLC reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
